The official structural spin-off is scheduled to take effect in October 2026. As a result, this role will initially be within OMRON, with the position formally transitioning to Aratas as of October 2026.
This transition presents both challenges and exciting opportunities. As Legal Counsel, you will play a key role in supporting the creation and development of the legal function within Aratas, effectively contributing to building the legal department from the ground up.
The Role
As Legal Counsel, you will be based at the European Headquarters in Hoofddorp, The Netherlands, and will report directly to the Chief Operating Officer of Aratas. You will act as a trusted legal advisor to the business, actively supporting strategic objectives and operational activities, while identifying and managing legal and compliance risks.
Your role will be broad and hands-on, covering a wide range of legal matters in an international context, and will be instrumental in shaping legal processes, policies, and governance within the new organization.
Key responsibilities:

Review existing contracts and prepare (proposals for) customized contracts. Lead and/or participate in and/or support negotiations and advise on a broad scope of legal matters and operational risks, including matters relating to privacy, intellectual property, employment law, export control, competition/antitrust.

Manage the corporate housekeeping of Aratas, including supporting or advising on incorporation of entities, mandatory filings, (supervisory) board meetings, shareholder meetings, annual accounts, dividend payments, capital requirements etc. and maintenance of the corporate housekeeping system and other systems required for legal operations.

Advise and partner on legal matters in the preparation and execution of deals, restructuring, partnerships, M&A and divestitures. Advise management internally on legal matters and consequences.

Management of disputes, incidents, claims and litigation.

Establish a network of external advisors, coordinate the communication with external legal counsels.

Draft (legal) documents and papers, such as memos, policies, guidelines and standards. Register and manage contracts according to legal procedures.

Handling of whistle blower reports and execute and coordinate internal investigation related to non-compliance of employees with laws, policies and ethical standards and provide and follow up with advice. Support and advice with respect to external investigations by authorities.

Implement and improve legal procedures and processes for relevant departments or countries of Omron, taking into account local rules and regulations and managerial guidelines.

Promote compliance management, raise awareness on various legal compliance requirements.

Exchange and share legal knowledge and proactively inform management about legal developments.
Required Education and Qualifications
- Master’s degree in law from a reputable university, knowledge of Dutch law is an advantage.
Required Specific Knowledge, Skills and Experience

Around seven years’ experience working in commercial and corporate law, experience with automotive industry preferred.

Proven track record of collaborating with cross-functional groups (Example: Sales, Operations, Finance).

Well-developed and professional interpersonal skills; ability to interact effectively with people at all organizational levels and different countries.

Proactive and service minded.

Project management skills, including the ability to manage time well, prioritize effectively and handle multiple deadlines.

Ability to plan and lead projects following set deadlines.

High ethical standards, methodical and diligent whilst keeping in mind the values and objectives of the organisation.

Able to work independent and autonomously.

Fluent English language skills.

Additional language skills, particularly Dutch language, preferred.
