Global Legal Function – (Senior) Legal Counsel Corporate Governance (m/f/d)
Position Responsibilities:
The holder of this position provides advice, counseling and support particularly in matters related to Fresenius Medical Care AG‘s Corporate Governance and its governing bodies.
Key Responsibilities:
- Providing support on all matters of corporate governance, including drafting and preparing reports of the Company or its governing bodies, such as the Compensation Report and the Supervisory Board report among others.
- Providing support in the preparation, execution, and follow-up of the Company’s Annual General Meeting (AGM).
- Providing support on matters related to the EU Market Abuse Regulation (MAR), German Securities Trading Act (WpHG), and similar regulations.
- Providing support on corporate law matters (group-wide).
- Providing support on matters related to the compensation of board members.
- Acting as an interface with internal departments such as Global Human Resources, Investor Relations, CFO Area, and the Supervisory Board Chairman’s Office.
- Managing and coordinating with external experts.
- Handling special projects.

Key Experience:
- Completed German legal studies (First and Second State Examinations); admission as a lawyer (Rechtsanwalt) and/or in-house counsel (Syndikusrechtsanwalt) is desirable. A doctorate, LL.M., MBA, or comparable qualifications are advantageous.
- 3-5 years of professional experience in a company, or a law firm specializing in corporate law (as in-house counsel for an internationally active company and/or as a lawyer in an internationally oriented law firm).
- In-depth knowledge of corporate, stock corporation law, capital markets law, and corporate governance.
- Basic knowledge of business administration; knowledge of tax law is advantageous. Experience in financing matters and U.S. corporate or capital market laws is beneficial.
- Fluent in German and English.
